  3. Choose one main person to communicate and make decisions throughout the project.

  2. Providing services outside the agreed-upon scope unless a new agreement is made for those services.

3.0 Terms and Conditions for SEO Service

Angela Technology Ltd. provides various SEO services that help improve your online visibility, including but not limited to:

  7. Content Marketing & Optimization
  8. Other services related to SEO optimization

3.1 Client Responsibilities

To help Angela Technology Ltd. provide the best SEO services, you agree to give us access to your website, including admin login details, hosting info, and any other project-related information we need. 

You’re also responsible for sharing any content, images, or product details that need to be optimised.

3.2 No Guarantee of Results

While Angela Technology Ltd. works to improve your website’s performance and ranking, we can’t promise specific results like higher rankings, more traffic, or increased sales. 

SEO depends on many factors, such as search engine algorithms, what competitors are doing, search engine rules, content authority, and other things that we can’t control.

3.3 Payment Terms

Angela Technology Ltd. works hard to deliver great services and meet client expectations. We expect clients to follow the agreed payment plans. All payments should be made within 7 working days of receiving the invoice. It’s important to know that without timely payment, Angela Technology Ltd. won’t be able to function properly.

3.4 Confidentiality

We understand how important confidentiality is in business, and Angela Technology Ltd. carefully handles all sensitive information shared with us. Everything will be kept private and only used to provide SEO services. 

We are committed to following our confidentiality agreement. We also ask our clients to respect this confidentiality, especially regarding our pricing, as every quote we provide is unique, based on different factors and the scope of services.

3.5 Limitation of Liability

Angela Technology Ltd. is not responsible for any negative effects caused by changes in search engine algorithms, actions from third-party websites (like link removals or changes), or any loss of business, profits, or reputation due to ranking changes or website downtime. 

It is important to note that several factors are beyond our reach, such as suggesting a desired change in Google's search ranking policy. 

3.6 Termination of Services

Either party can end the agreement with 7 days’ notice. If the agreement is terminated, all unpaid payments must be made within 7 working days. Angela Technology Ltd. will provide any remaining deliverables and remove access to tools or services during this time.

4.0 Terms and Conditions for Website Development Service

Angela Technology Ltd. has set these Terms and Conditions for our website development services. By using our services, clients agree to follow and be bound by these terms of our website development service.

4.1 Payment Terms

A 50% deposit of the total project cost is required before starting the website design and development project. The remaining 50% must be paid within 7 working days after the project is completed.

4.2 Project Timeline

Angela Technology Ltd. agrees to finish the project within the agreed timeframe, as mentioned in the project proposal. If we don’t get the necessary information or materials from the client on time, it could delay the project.

If delays happen on our side, we’ll talk to the client and may ask for more time to complete the project. Angela Technology Ltd. may offer compensation for any extra time needed.

4.3 Project Proposal

A detailed project proposal will be given. The client agrees to these Terms and Conditions and initialises the project by making the payment. To start the project, the client must approve a homepage mock-up before development can begin.

4.4 Website Review and Revisions

The client will review the completed website, and once approved, it will be launched. The client is allowed one revision, aside from the original mock-up design, to suggest changes. These changes may take extra time and could delay the project. Any further revisions will come with additional charges.

4.5 Client Responsibilities

Clients must provide all necessary content (like text, images, and videos) before the start of the development process. Delays in providing content can affect the project timeline. If there are major changes or extra content added after approval, additional charges may apply.

4.6 Additional Charges

Any updates or changes not included in the original quote will be charged at an hourly rate. If the client or third parties make changes that require adjustments by Angela Technology Ltd., those will also be charged hourly.

4.7 Liability

Angela Technology Ltd. is not responsible for any damages or mistakes caused by the client or other parties after the website has been handed over.

4.8 Termination or Completion of the Project

If the client cancels the project before it’s finished, they must pay for all completed work within 7 days. Angela Technology Ltd. will keep ownership of the intellectual property used in the project. The client also agrees to have “Angela Technology Ltd.” listed on the website’s homepage for credit.

5.0 Terms and Conditions for Creative Design Service

Angela Technology Ltd. provides a variety of creative design services, such as eye-catching graphics, easy-to-use UI/UX designs, and engaging content for marketing materials. Below are the terms and conditions for working with Angela Technology Ltd.:

5.1 Project Proposal and Payment Terms

A detailed project proposal outlining the services, timelines, and deliverables will be provided before the project begins. A 50% deposit is required to start the project, with the remaining balance due upon completion.

5.2 Client Responsibilities

The client agrees to provide all necessary content, information, and feedback promptly to avoid delays. The client must approve deliverables at each stage and respond to communications within the agreed timeframe to ensure smooth project progress.

5.3 Revisions and Additional Work

The client can get a certain number of revisions as stated in the project proposal. If they need more revisions than the agreed number, there might be extra charges. Once the final deliverables are approved, any further changes will be treated as a new project or phase and will cost extra.

5.4 Ownership and Intellectual Property

Once the client pays in full, they'll own all the final creative designs, UI/UX deliverables, and written content made by Angela Technology Ltd.

5.5 Client-Provided Materials

The client is responsible for ensuring that any materials they provide, such as logos, graphics, or content, do not infringe upon any copyrights. The client assumes full responsibility for the legal use of these materials.

5.6 Termination of Agreement

Either party may terminate the agreement with a 7-day written notice. If the client terminates the project before completion, payment for all completed work up to the termination date must be made within 7 days. If Angela Technology Ltd. terminates the agreement, the client will receive all completed work up to that point, along with a pro-rata refund for unfinished portions of the project.

5.7 Portfolio Rights

Angela Technology Ltd. can show off any designs, content, or UI/UX deliverables from the project in their portfolio and for marketing. If the client wants the project to stay confidential, they need to tell Angela Technology Ltd. in writing before the project starts.

7.0 Access and Control

To do our digital marketing work, Angela Technology Ltd. needs the client to share access to certain accounts, like:

  1. Website and hosting accounts
  2. Social media accounts (like Facebook, Instagram, or Twitter)
  3. Email marketing tools
  4. Paid ad platforms (like Google Ads)
  5. Analytics tools (like Google Analytics)
  6. Other necessary accounts

We need admin access or similar details to handle campaigns and tasks smoothly. The client must provide safe and correct login details at the start of the project.

7.1 Responsibilities of the Client

The client must make sure all login details they provide are accurate and up-to-date. They should keep an eye on their account security by managing passwords and keeping security settings updated. The client also agrees to give the needed access for the entire project and follow the rules of any third-party platforms used.

7.2 Responsibilities of Angela Technology Ltd.

Angela Technology Ltd. will only use the client's account access for the services agreed upon—nothing else. We'll keep all client data and login info safe with secure methods. If something goes wrong with third-party platforms (like Facebook or Google), Angela Technology Ltd. isn’t responsible for downtime or account suspensions. But we’ll try our best to help fix it.

7.3 Withdrawing Access

The client can remove Angela Technology Ltd.’s access anytime, but doing this might make it harder to finish the job. If access is removed, the client needs to let us know in writing. When the contract ends, the client gets back full access to all platforms unless we’ve agreed on something different.

7.4 Ownership and Control of Digital Assets

During the project, Angela Technology Ltd. might make things like ads, website pages, or social media posts. Once the client pays everything they owe, they fully own these assets. The client can ask to take charge of any assets during the project as long as payments are up-to-date. After the project is finished and paid for, the client gets full control of everything we created for them.

7.5 Third-Party Access to Accounts

If the client lets other vendors or agencies use their accounts, Angela Technology Ltd. won’t be responsible for any problems they cause. The client needs to handle communication between everyone involved. If having third parties involved creates issues, Angela Technology Ltd. might stop work until things get sorted out.

7.6 Modifying Access Permissions

If the client changes Angela Technology Ltd.'s access, like lowering admin rights, they need to tell us right away. If the project gets delayed because of limited access, it’s the client’s responsibility.

7.7 Handling Emergency Situations

If an account gets hacked or messed up, both the client and Angela Technology Ltd. need to act fast to fix it. We’ll help with recovery, but it’s the client’s job to keep their accounts safe. If there’s a disagreement about who should have access, both sides will work to solve it quickly. During this time, access might be limited, and Angela Technology Ltd. isn’t responsible for any project delays that happen because of it.

7.8 Ending the Contract

When the contract is over, Angela Technology Ltd. will give back all access to the client’s accounts. The client gets to keep anything we created, as long as all payments are made. If there’s still money owed, Angela Technology Ltd. might hold onto some assets or account access until the payment is finished.

8.0 Intellectual Property 

Client Materials: Any content, branding elements, trademarks, logos, or other materials provided by the client for the project remain the exclusive property of the client. Angela Technology Ltd. will not claim ownership of these materials.

Angela Technology Ltd. Created Materials: All content, designs, strategies, and materials created by Angela Technology Ltd. during the project—such as marketing copy, graphic designs, website layouts, logos, ads, and social media posts—remain the property of Angela Technology Ltd. until full payment is received.

Once the client has paid in full, ownership of these deliverables transfers to the client, except for certain tools, templates, or assets which remain the property of Angela Technology Ltd.

9.0 Licensing of Pre-Existing Intellectual Property

Sometimes, Angela Technology Ltd. uses stuff like templates, code libraries, stock images, or special software they already own to help with the project. The client can use these things, but only for the project, and they can't give them to anyone else.

These items still belong to Angela Technology Ltd. or the original creators. If the project needs extra tools or services (like licensed images, plugins, fonts, or software), the client might need to get separate licenses to use them legally. Angela Technology Ltd. will let the client know about any of these needs ahead of time.

10.0 Copyright

All original content made by Angela Technology Ltd. during the project—like text, designs, videos, and coding—is protected by copyright law. Once the client pays in full, they get full ownership of the content listed in the contract.

Angela Technology Ltd. can keep and use copies of the project for their portfolio, promotions, or case studies unless both sides agree otherwise.

11.0 Trademark Use

Angela Technology Ltd. will use the client's trademarks, logos, or branding elements only to get the work done. They won't use them for anything else without the client's permission.

However, Angela Technology Ltd. can use the client's logos and branding in their marketing materials or as examples of their work because they have moral rights.

12.0 Restrictions on Use of Intellectual Property

The client agrees not to resell, share, or give away any work created by Angela Technology Ltd. without permission. The work is meant for the client's business or project only and can't be shared with others unless they get written consent first.

If the client changes or modifies the materials without permission, it could cancel any warranties. Angela Technology Ltd. won't be responsible for any problems that result from these changes.

13.0 Moral Rights

Angela Technology Ltd. has the right to be credited for the original work they create during the project. The client can't claim they made the work without giving credit to Angela Technology Ltd. unless both sides agree otherwise.

14.0 Confidentiality and Privacy

At Angela Technology Ltd., we keep our clients' and their customers' information private and safe. We use the best security measures to protect things like business plans, customer data, and marketing materials. This information is only used for the project.

We might collect personal info like names, emails, and phone numbers to provide our services. We won't share this info with anyone else unless we have permission or work with trusted vendors who follow confidentiality rules. 

Both sides agree to keep this information private during the project and for two years after it ends. If there's a confidentiality breach, the affected side must inform the other immediately. Both sides will work together to fix any problems caused by the breach. 

If the breach happens because someone didn't protect the information properly, they will be responsible for any damages. Angela Technology Ltd. can change this privacy policy anytime. We will inform clients of major changes, and using our services after that means you accept the new terms.

15.0 Termination

Either side can end the agreement anytime by giving written notice to the other.

15.1 When the Client Can End It:

  1. If Angela Technology Ltd. misses deadlines or deliverables without a good reason.
  2. If the services don't match what was agreed on in terms of quality or specs.

When the client ends it, Angela Technology Ltd. will stop all services and send a final bill for work done up to that date.

15.2 When Angela Technology Ltd. Can End It:

  1. If the client doesn't pay on time.
  2. If the client breaks the law or any rules.
  3. If the client gives false information during onboarding.

When Angela Technology Ltd. ends it, they'll give written notice with the reasons.

15.3 What Happens When It Ends:

Final Payments: Any outstanding fees for work done up to the end date must be paid within 7 working days.

Return of Materials: Both sides agree to return or destroy any confidential info and materials belonging to the other.

Ownership of Deliverables: Any work done by Angela Technology Ltd. before the end will stay their property until fully paid for. Once paid, the ownership transfers to the client, following the intellectual property rules.

16.0 Governing Law and Jurisdiction

These Terms and Conditions follow the laws of England and Wales. Any disagreements about using Angela Technology Ltd.’s services or website will be handled by the courts in England and Wales.

By using this website, you agree to follow these laws and resolve any disputes in the specified courts.

17.0 Changes to Terms of Service
